Two examples of 2nd party would be Sucker Punch and Insomniac. They are not owned by Sony but make games exclusively for Sony's line of consoles. In turn, they get heavy support from Sony's 1st party.
3rd Party would be like Infinity Ward and Bioware. They aren't tied down to any company in particular and hence can make games for either console, albeit with not as much support as a 2nd party dev.
Typically, the Xbox has sharper textures in it's games. That's to do with it's GPU, not the disc space.

It's entirely preference. I can't stand playing any game on the Xbox 360 pad, though that's more with the layout of the buttons and sticks then the ergonomics.
