Microsoft was forced to come up with Gamepass, because most of their games are flops. Even Forza (one of their biggest franchises) did really shitty.

Maybe because it was announced in 2014, still hasn't released, and doesn't even look that good.
They own the movie rights; not the game rights though. They allowed Disney to use Spider-Man in the Avengers movies in exchange for the exclusive games.
