If ms spent the same time, money and energy that they're using on this deal on new games, they would have already made their equivalent of Super Mario 64 and Metal Gear Solid 1 (aka the greatest games ever made).
They expect to sell 15 million this year so the gap would be 17 million, I think with a price cut they have a chance to overtake the PS2. It remains to see what other unannounced games have in their pipeline but even if they don't overtake it they would still come very close.

Something similar happened with the proposed acquisition of Arm by Nvidia, the FTC was the first to block the deal and consequently the other regulators blocked it too. Nvidia had to pay Softbank $1.25 billion for the failed acquisition, just like Ms will do but for $3 billions.
